Board Committee Mandates
At Infinite Wave Foundation (IWF), our Board of Directors provides oversight through focused committees that support strategic planning, mission execution, and community accountability.
We currently operate with three active committees that drive our work in community programs, fund development, and engagement events. As our organizational capacity grows, we will expand this structure to include governance, finance, audit, and executive functions.
1. Programs Committee
Purpose:
To ensure all programs align with IWF’s mission and values, are rooted in community needs, and create measurable impact.
Responsibilities:
Monitor key performance indicators and community outcomes
Ensure programming is trauma-informed, culturally rooted, and accessible
Collaborate with staff and partners to evaluate program effectiveness
Recommend opportunities for improvement, scaling, or innovation

2. Fund Development & Partnerships Committee
Purpose:
To strengthen the organization’s financial sustainability and strategic growth by supporting fundraising and partnership efforts.
Responsibilities:
Support donor outreach, grant applications, and sponsorship opportunities
Build relationships with funders, corporate partners, and community stakeholders
Provide guidance on fundraising campaigns and communications
Advise on ethical gift acceptance policies
Collaborate with staff to ensure all fundraising activities reflect IWF’s mission
3. Events Committee
Purpose:
To support the planning, promotion, and execution of events that raise awareness, celebrate milestones, and deepen community engagement.
Responsibilities:
Plan and coordinate community events, fundraisers, and outreach activities
Collaborate with program teams to align events with strategic goals
Engage volunteers and community partners in event planning
Ensure events are inclusive, culturally respectful, and accessible
Evaluate event success and capture feedback for future improvements
Future Committees (To Be Established)
As we expand our team and Board capacity, IWF intends to form the following governance committees:
Governance & Nominations Committee: Oversight of Board effectiveness, recruitment, and policy review
Finance & Audit Committee: Oversight of budgets, financial reports, audits, and compliance
Executive Committee: Strategic leadership between board meetings
These committees will be guided by formal Terms of Reference and best practices in nonprofit governance.
Committee Operations
Committees operate under the authority of the Board of Directors
Each committee meets monthly or as needed, and reports to the full Board
Chairs are appointed by the Board, with members consisting of Directors, volunteers, or advisors as needed
All committee decisions must align with IWF’s mission, strategic plan, and charitable obligations under the Canada Revenue Agency (CRA)
Full Terms of Reference will be published as each committee is established.
Community Engagement in Committees
Infinite Wave Foundation welcomes skilled and passionate individuals to participate in board committees as community members or advisors and not as non-voting members, based on lived experience, professional expertise, or alignment with our mission.
These individuals are not directors of the board, but work in partnership with leadership to help shape our impact.
Participation is by invitation or application and is subject to approval by the Board of Directors. All committee members are expected to maintain confidentiality and uphold IWF’s values.
